Terms and Conditions

These Terms and Conditions govern the services provided by Rebel Ape Marketing (“we,” “us,” “our”) and are subject to change without notice. By engaging our services, you agree to these terms. For updates, please review this page periodically.


Website Development and Maintenance

Payment Terms:

A non-refundable deposit of 50% of the project cost is required before work begins.

The remaining 50% is due before the website is made live. If final payment is not received, the website will not be published.

An active credit card is required for all ongoing services. We do not accept cash or checks.

Ownership and Legal Protection:

Once the website is paid in full, ownership is transferred to the client. However, any third-party integrations, lead funnels, automations, or proprietary pages—particularly those associated with the Silverback Authority Method™—remain the property of Rebel Ape Marketing and will be disconnected upon service cancellation. This includes, but is not limited to, landing pages, email sequences, and automation workflows.

Unauthorized migration, copying, or theft of the website, its content, or design will result in legal action. The client will be responsible for any associated legal fees.

Website Breakage and Updates:

Websites may experience issues over time such as broken links, plugin conflicts, or performance degradation. While we use monitoring tools to catch most issues, not all will be flagged. Clients are encouraged to notify us of issues as they arise.

Hacks and Security:

If your website is hacked, we will resolve the issue at no additional cost, provided you are an active monthly client and notify us promptly.

We install and maintain a set of pre-approved, security-vetted plugins. However, any additional plugins installed by the client that are not on our approved list are used at your own risk. We are not liable for vulnerabilities, hacks, or performance issues caused by unapproved third-party plugins.

Service Termination:

You are required to provide 30 days’ written notice and continue payments for your final month of service to allow for proper data transfers.

After this window, we are no longer responsible for storing or retrieving your data, website files, or access credentials. It is your responsibility to request anything you’d like transferred or exported.


SEO Services

Performance Expectations:

We implement industry best practices in SEO and utilize advanced strategies, including those within our proprietary Silverback Authority Method™. However, due to numerous factors affecting Google’s algorithm, we cannot guarantee first-page or #1 rankings. SEO is a long-term, ongoing process, and most websites typically begin to see meaningful ranking movement after the first 90 days, although results may occur sooner.


Pay-Per-Click (PPC) Management

Budget Responsibility:

PPC campaigns require a separate advertising budget, which is your responsibility to fund and maintain. We are not liable for underperformance due to insufficient budget.

Google Ads Billing:

Google Ads may overcharge or undercharge by up to 10%, per Google’s automated billing adjustments. This is determined solely by Google and is beyond our control.

Account Ownership:

Accounts created and managed by Rebel Ape Marketing are our intellectual property.

Upon cancellation of services, you must stop all active ad campaigns built by us. You are not permitted to use our ad copy, designs, targeting strategies, videos, or other creatives. Continued use after cancellation constitutes intellectual property theft and may result in legal action. You are required to create new ads from scratch.

Ad Interruption Disclaimer:

If your ads stop running for any reason (e.g., failed payment, disapproved assets), we are not liable for the pause in service. In the event of billing issues, we reserve the right to initiate a payment with Google Ads directly, without prior notice, to restore campaign delivery.


Google Local Services Ads

We offer management services for Google Local Services Ads (LSAs); however, all background checks and verification processes are administered by Google or its authorized partners.

You are solely responsible for completing all legal steps and documentation required by Google. We manage ad performance but do not influence eligibility or verification.


Content Creation and Publishing

Approval Windows:

Content created by Rebel Ape Marketing (web copy, blogs, emails, etc.) will be sent for your review.

If we do not receive feedback within 5 business days, we will consider the content approved and will move forward with publishing.

Previously syndicated content (e.g., press releases, external blog networks) may not be editable or retractable after publication.

Social Media Content:

Social media posts follow the same 5-day review window. If no feedback is received, they are considered approved and will be published as scheduled.


SEO Tools and Search Console Management

Ownership:

Any SEO tools, tracking setups, Google Search Console properties, or related accounts set up by Rebel Ape Marketing remain our property.

Upon cancellation, you are responsible for creating and managing new accounts independently.


3rd Party Integrations

CRM, Lead Tracking, and Automations:

We use third-party platforms such as Go High Level for CRM, automations, and phone tracking.

Phone Number and Account Porting:

All phone numbers provisioned through our systems will be deactivated upon cancellation unless specifically ported into your own account.

It is your responsibility to request and initiate porting prior to cancellation if you wish to retain the number.

Account Continuation Option:

You may retain your Go High Level sub-account by transitioning to a direct account and assuming all fees. If not, the account and data will be permanently deleted.


General Terms

No Guarantees Disclaimer:

We work to deliver strong results using proven systems, but cannot guarantee specific performance benchmarks such as top rankings, click-through rates, lead volume, or social growth. Many variables are outside our control.

Cancellation Policy:

Clients must provide 30 days’ written notice and pay for the final month of services to allow for a proper wind-down and transition.

Modifications:

These terms are subject to change at any time without notice. Continued use of services implies acceptance of the latest version.


Additional Clauses for Legal and Operational Clarity

Third-Party Platform Limitations:

We are not responsible for policy changes, outages, billing errors, or account suspensions caused by third-party platforms (e.g., Google, Facebook, Instagram, Go High Level).

Force Majeure:

We are not liable for delays or service interruptions due to events beyond our control, including but not limited to natural disasters, software outages, server failures, or global pandemics.

Confidentiality:

We will not share proprietary business information, strategies, or login credentials with outside parties. Likewise, by engaging our services, you agree not to disclose Rebel Ape Marketing’s proprietary strategies or methodologies.

Dispute Resolution:

Any disputes arising from services rendered will be resolved in the state of Utah under applicable state laws. You agree to attempt mediation before pursuing legal action.
